Terms and Conditions

Definitions

  • Agreement: All documents governing cooperation between the Client and the Company, including proposals, these Terms, and related materials.
  • Client Materials: Information, files, or content provided by the Client for use within the Project.
  • Deliverables: The work outputs or services agreed upon in the Agreement.
  • Development Resources: Internal tools, frameworks, systems, code, and technical solutions used or created by the Company.
  • Final Deliverables: The completed Deliverables will be provided to the Client after approval.
  • Project: The agreed scope of work between both parties.
  • Services: All development, consulting, or related work performed under the Agreement.
  • Third-Party Materials: External software, tools, or assets incorporated into the Project.

Development Services

The Company will provide Services according to the scope, milestones, and requirements defined in the Agreement.

Proposal Validity

Proposals issued by the Company remain available for acceptance for thirty (30) days unless otherwise specified. If no confirmation is received within that period, we may revise the proposal before resubmitting it.

Compensation

  • Additional Costs: Third-party expenses such as hosting, licenses, or integrations are billed separately unless stated otherwise.
  • Expenses: Approved project-related expenses are charged at actual cost.
  • Fees: The Client agrees to pay all fees outlined in the Agreement, including applicable taxes.

Payment Terms

Invoices must be paid within five (5) days unless another payment period has been agreed upon. Payments generally follow the milestone schedule defined in the Project plan.

Changes to Scope

  • Change Requests: Requested modifications must be submitted in writing. We will review the request and provide updated timelines and pricing information.
  • Minor Adjustments: Smaller changes may be billed separately and can affect delivery timing.
  • Major Adjustments: Significant scope modifications may require a revised proposal before work continues.
  • Proposal Approval: Proposals should be approved within fourteen (14) business days.

Delays

  • Client Delays: Delays in approvals, feedback, or materials may extend Project timelines.
  • Company Delays: We will notify the Client if internal issues affect delivery schedules.
  • External Events: Circumstances beyond reasonable control may impact timelines without constituting a contractual breach.

Evaluation and Acceptance

  • Testing: Deliverables are reviewed and tested using commercially reasonable methods before submission.
  • Review Process: The Client is expected to review Deliverables and provide timely feedback regarding revisions or approval.

Client Responsibilities

The Client agrees to:

  • provide complete and accurate information
  • ensure submitted materials are suitable for use
  • respond to communications within a reasonable timeframe
  • cover costs related to corrections of supplied content

Attribution and Promotion

Unless otherwise agreed, the Company may reference completed Projects in portfolios, presentations, or marketing materials.

Confidential Information

Non-public information shared during cooperation should be treated as confidential and not disclosed without consent unless required by law.

Independent Relationship

The Company operates as an independent contractor. Nothing in the Agreement creates an employment, partnership, or agency relationship.

The Company may involve subcontractors while remaining responsible for Deliverables.

Limitation of Liability

Services are provided under normal commercial conditions without guarantees beyond those expressly stated.

To the extent permitted by applicable law, the Company’s liability is limited to the amount paid by the Client for the relevant Services. The Company is not liable for indirect, incidental, or consequential damages.

Rights to Deliverables

After full payment, the Client receives a non-exclusive right to use the Deliverables for their intended purpose. Ownership of internal development resources and tools remains with the Company.

Support Services

Additional support or maintenance may be offered separately and may involve additional fees unless included in the Agreement.

The Company is not responsible for issues arising from third-party modifications to Deliverables.

Revisions to Terms

These Terms may be updated periodically. Continued use of the website or Services after updates are published indicates acceptance of the revised version.
