Terms and Conditions

Definitions

Agreement: The complete set of documents governing the relationship between the Client and the Company, including proposals, these Terms, and any supporting materials.
Client Content: Any materials provided by the Client for use within the Project, including text, images, files, or other assets.
Deliverables: The work products or services that the Company agrees to provide under the Agreement.
Company Tools: All software, code, frameworks, systems, templates, and technical solutions developed or used by the Company, including structural and functional elements such as layout, navigation, and architecture.
Final Deliverables: The completed and approved version of all Deliverables delivered to the Client.
Project: The scope of work agreed between the Client and the Company.
Services: All services provided by the Company as described in the Agreement.
Third-Party Materials: External resources or assets obtained from third parties and incorporated into the Project.

Development Services

The Company shall perform all Services in accordance with the scope, requirements, and milestones outlined in the approved proposal and Agreement.

Proposal / Scope of Work

All proposals remain valid for thirty (30) days from the date of issue. If not accepted within this period, the Company reserves the right to revise and resubmit them.

Compensation

Additional Costs: Third-party services such as hosting or licensing will be billed separately from development fees.
Expenses: Approved expenses will be charged at cost.
Fees: The Client agrees to pay all fees, including applicable taxes, according to the Project plan.

Payment

Invoices: Payment is due within five (5) days of invoice issuance unless otherwise agreed.
Payment Schedule: Payments must follow the milestone schedule defined in the Agreement.

Changes to Project Scope

Change Requests: All changes must be submitted in writing. The Company will respond within five (5) business days with details on cost and timeline adjustments.
Minor Changes: Changes under twenty percent (20%) of the Project value, or considered minor, will be billed at standard hourly rates and may impact timelines.
Major Changes: Significant changes require a revised proposal and approval before work continues.
Proposal Acceptance: The Client must approve proposals within fourteen (14) business days or they may be withdrawn.

Delays

Client Delays: Delays in providing materials or approvals may extend Project timelines.
Company Delays: The Company will notify the Client if delays occur.
External Delays: Events beyond the control of either party may affect timelines without constituting a breach of the Agreement.

Evaluation and Acceptance

Testing: Deliverables will be tested using reasonable industry standards before submission.
Approval Periods: The Client has seven (7) business days to accept or reject Deliverables. Revisions will be addressed within fourteen (14) days, followed by an additional review period.

Client Responsibilities

The Client agrees to:

Provide complete and accurate content
Ensure materials are suitable for use
Respond promptly to requests
Cover costs for corrections related to provided content

Accreditation and Promotion

The Company may include attribution and use Deliverables in portfolios or promotional materials unless otherwise agreed.

Confidential Information

Confidential information shared during the Project must not be disclosed without consent unless required by law or already publicly available.

Relationships

The Company acts as an independent contractor and may engage subcontractors while remaining responsible for Deliverables. No partnership or employment relationship is created.

Liability

The Company is not liable for indirect or consequential damages. Total liability is limited to the amount paid by the Client.

Rights for Work Produced

The Client receives a non-exclusive, worldwide license to use Deliverables as agreed. Modification or reuse beyond the agreed scope requires permission.

Support Services

Support may be provided at additional cost unless included in the Agreement. Responsibility is void if third parties modify Deliverables.

Amendments

We reserve the right to update these Terms at any time. Continued use of the website or services indicates acceptance of any changes.
